Acceptance of Terms
By accessing or using the Five Star Flite Website, enrolling in or purchasing any Program,
downloading or accessing any Program Materials, creating an Account, or otherwise using any of
our Services, you agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and Five Star Flite LLC (“Five
Star Flite,” “we,” “our,” or “us”), operating under the Five Star Flite Academy educational brand.
These Terms apply to all Visitors, purchasers, Participants, Account holders, and other individuals
who access or use our Website, Services, Programs, Program Materials, or other Content.
By accepting these Terms, you represent and warrant that:
● You are at least eighteen (18) years of age or otherwise possess the legal capacity to
enter into this Agreement.
● Any information you provide to Five Star Flite is accurate, complete, and current.
● You will use our Website, Services, and Programs only for lawful purposes and in
accordance with these Terms.
● You have read, understand, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Website, Services, Programs,
or Program Materials.
These Terms should be read together with our Privacy Policy, Cookie Notice, Refund Policy & 90-
Day Confidence Guarantee, Website Disclaimer, and any additional written terms that specifically
apply to a particular Program or Service. Each of those documents is incorporated into these
Terms by reference.
Definitions and Interpretation
For purposes of these Terms, the following definitions apply.
2.1 Account
“Account” means the unique user account established for a Participant to access one or more
Programs or Services offered by Five Star Flite.
2.2 Content
“Content” means all information, text, graphics, photographs, images, illustrations, videos, audio
recordings, presentations, downloads, documents, workbooks, templates, worksheets, forms,
checklists, assessments, quizzes, exercises, emails, newsletters, blog posts, articles, webinars,
podcasts, educational frameworks, methodologies, instructional materials, graphics, software
interfaces, and all other materials or content made available by Five Star Flite through the
Website, Services, or Programs, whether in digital, printed, live, recorded, downloadable, or
other format.
2.3 Intellectual Property
“Intellectual Property” means all copyrights, trademarks, service marks, trade names, trade
dress, patents, trade secrets, proprietary educational methodologies, instructional frameworks,
decision-making models, branding, logos, domain names, know-how, proprietary terminology,
designs, graphics, and all other intellectual property rights owned by or licensed to Five Star Flite,
together with all associated goodwill and all rights recognized under applicable law.
2.4 Participant
“Participant” means an individual who purchases, enrolls in, accesses, or otherwise uses one or
more Programs or Services offered by Five Star Flite.
2.5 Program
“Program” means any educational offering provided by Five Star Flite, whether now existing or
developed in the future, including online courses, workshops, webinars, coaching (if offered),
memberships, enterprise learning solutions, downloadable educational resources, assessments,
certifications, AI-assisted educational features, live events, virtual events, and similar educational
offerings.
2.6 Program Materials
“Program Materials” means the Content, resources, downloads, worksheets, templates,
presentations, videos, assessments, graphics, workbooks, documents, exercises, and other
materials made available to Participants in connection with a Program.
Program Materials do not include a Participant’s own notes, independent work product, or the
Participant’s independent application of concepts learned through a Program.
2.7 Services
“Services” means all products, services, educational offerings, functionality, features, support,
resources, technology, and related activities provided by Five Star Flite through the Website or
otherwise, including Programs.
2.8 Visitor
“Visitor” means any individual who accesses or browses the Website without enrolling in a
Program.
2.9 Website
“Website” means the Five Star Flite website located at www.fivestarflite.com, together with any
successor websites, subdomains, online learning portals, landing pages, member portals, mobile
interfaces, or other digital properties owned or operated by Five Star Flite in connection with its
Services.
2.10 Interpretation
Unless the context clearly requires otherwise:
● Headings are provided solely for convenience and do not affect interpretation.
● Words in the singular include the plural, and words in the plural include the singular.
● References to a “person” include an individual, partnership, corporation, limited liability
company, trust, governmental entity, or other legal entity.
● The words “including,” “includes,” and “include” mean “including without limitation.”
● References to “you” and “your” refer to the applicable Visitor or Participant, as the
context requires.
● References to “Five Star Flite,” “we,” “our,” and “us” mean Five Star Flite LLC.
Our Services
Five Star Flite provides educational Services designed to help individuals think more clearly,
communicate more effectively, strengthen leadership capabilities, and make better decisions in
both their personal and professional lives.
Our Services may include, without limitation, online courses, webinars, workshops, coaching (if
offered), memberships, downloadable educational resources, assessments, enterprise learning
solutions, AI-assisted educational features, live educational events, and additional educational
Programs that we may develop from time to time.
Our educational philosophy is grounded in teaching practical frameworks, principles, and tools
that Participants may evaluate, adapt, and apply according to their own judgment, experience,
and circumstances.
Our Programs are intended to educate, challenge, and encourage thoughtful decision making.
They are not intended to provide individualized legal, financial, tax, accounting, medical, mental
health, employment, or other licensed professional advice.
Five Star Flite continually evaluates and improves its educational offerings. Accordingly, we may
update, enhance, modify, reorganize, replace, suspend, retire, or discontinue any Service,
Program, Program Material, or feature from time to time.
Unless otherwise expressly provided in our Refund Policy & 90-Day Confidence Guarantee or
required by applicable law, modifications to our Services do not entitle a Participant to a refund
or other compensation.
Nothing in these Terms obligates Five Star Flite to create, maintain, update, or continue offering
any specific Program, Service, or feature for any particular period of time.
Eligibility and Accounts
Access to the Services is intended for individuals who are at least eighteen (18) years of age or
who otherwise possess the legal capacity to enter into a binding agreement under applicable law.
By accessing or using the Services, you represent and warrant that you satisfy these eligibility
requirements.
To access certain Programs or Services, you may be required to create an Account. You agree to
provide accurate, current, and complete information when creating your Account and to
promptly update such information if it changes.
Each Account is licensed for use by a single Participant only. Accounts are personal to the
individual who registered them and may not be shared, transferred, sold, assigned, sublicensed,
or otherwise made available to another person without the prior written consent of Five Star
Flite.
You are responsible for maintaining the confidentiality of your Account credentials, including
your username and password, and for all activity occurring under your Account. You agree to
notify Five Star Flite promptly if you become aware of any unauthorized access to or use of your
Account or any other security breach.
Five Star Flite reserves the right to suspend, restrict, or terminate an Account if we reasonably
believe that the Account has been compromised, is being used in violation of these Terms, or is
being used in a manner that threatens the security, integrity, or operation of our Website or
Services.
Access to Programs
Unless otherwise expressly stated at the time of purchase, enrollment in a Program provides the
Participant with access to that Program for as long as Five Star Flite continues to make the
Program commercially available.
Although we have no present intention of discontinuing our Programs, we continually evaluate
and improve our educational offerings. Accordingly, we reserve the right to modify, update,
reorganize, replace, suspend, retire, or discontinue any Program, Program Material, feature, or
portion of the Services at any time.
If a Program is discontinued, Five Star Flite may, but is not obligated to, provide reasonable
advance notice, substitute substantially similar educational content, or otherwise attempt to
minimize disruption to Participants.
Except as expressly provided in our Refund Policy & 90-Day Confidence Guarantee or required by
applicable law, modifications to the Services or Programs do not entitle a Participant to a refund,
credit, or other compensation.
Temporary interruptions resulting from maintenance, software updates, cybersecurity events,
internet outages, third-party platform interruptions, or other circumstances beyond Five Star
Flite’s reasonable control do not constitute a breach of these Terms.
Nothing in these Terms guarantees uninterrupted access to any Program or Service.
License Grant
Subject to your continued compliance with these Terms, Five Star Flite grants you a limited,
personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access
and use the applicable Program and Program Materials solely for your own personal educational
purposes.
This license grants only the rights expressly stated in these Terms. No ownership interest in any
Program, Program Materials, Content, Services, Website, or Intellectual Property is transferred
to you.
Unless expressly authorized in writing by Five Star Flite, this license does not permit you to:
● reproduce Program Materials except as expressly permitted by these Terms;
● distribute, publish, transmit, or publicly display Program Materials;
● sell, license, sublicense, rent, lease, assign, or otherwise commercially exploit Program
Materials;
● modify, adapt, translate, reverse engineer, or create derivative works from Program
Materials except as permitted by applicable law;
● remove copyright, trademark, or proprietary notices;
● use Program Materials to create competing educational products or services that
substantially reproduce Five Star Flite’s original expression; or
● exercise any rights not expressly granted under these Terms.
Your license automatically terminates upon termination of your access rights or upon an
approved refund, at which time you must immediately cease using the applicable Program and
permanently delete or destroy any downloaded Program Materials, except to the extent
retention is required by applicable law.
Intellectual Property
All right, title, and interest in and to the Website, Services, Programs, Program Materials,
Content, educational frameworks, methodologies, instructional models, graphics, videos,
downloads, branding, trademarks, logos, proprietary terminology, and all related Intellectual
Property are and shall remain the exclusive property of Five Star Flite LLC or its licensors.
These Terms do not transfer ownership of any Intellectual Property to a Participant. The limited
license granted under Section 6 is the only permission provided to access or use our Intellectual
Property.
Participants remain free to apply the concepts, principles, knowledge, and skills they learn
through our Programs in their personal lives, careers, businesses, and organizations.
However, these Terms protect Five Star Flite’s original expression of those concepts, including
our written materials, videos, presentations, instructional frameworks, proprietary terminology,
graphics, templates, workbooks, assessments, and other original Content.
Nothing in these Terms prohibits a Participant from creating original work based upon their own
experience, independent knowledge, or lawful application of concepts learned through the
Programs, provided that such work does not reproduce, substantially copy, or misappropriate
Five Star Flite’s protected expression or Intellectual Property.
Enterprise, organizational, institutional, or commercial use of our Programs or Program Materials
may require a separate written license agreement.
Nothing contained in these Terms limits any rights that cannot lawfully be limited under
applicable intellectual property law.
Permitted Uses
Subject to these Terms, Participants are encouraged to use the Programs and Program Materials
to support their own learning, leadership development, professional growth, organizational
effectiveness, and personal decision making.
Unless otherwise prohibited elsewhere in these Terms, Participants may:
● access Program content for their own personal educational use;
● download materials expressly designated for download;
● print worksheets or other materials intended for personal educational use;
● complete exercises, assessments, and activities included within the Programs;
● take personal notes while participating in a Program;
● discuss concepts learned through the Programs with colleagues, friends, clients, students,
family members, and others;
● apply Program concepts within their own businesses, careers, organizations, or personal
lives; and
● reference general ideas learned through the Programs without reproducing Five Star
Flite’s protected expression.
The purpose of these Terms is to protect Five Star Flite’s Intellectual Property while encouraging
Participants to learn from, apply, and benefit from the educational concepts presented in our
Programs.
Prohibited Uses
Except as expressly authorized in writing by Five Star Flite, Participants shall not:
● share, transfer, sell, sublicense, or permit another person to use their Account;
● permit multiple individuals to access a single Account;
● reproduce, copy, distribute, republish, upload, transmit, or publicly display substantial
portions of any Program Materials;
● record, capture, download, duplicate, or redistribute videos or other protected Content
except where expressly permitted;
● remove, obscure, alter, or bypass copyright, trademark, watermark, or proprietary
notices;
● upload Program Materials to shared drives, online repositories, public websites, cloud
storage services, AI knowledge bases, or similar locations accessible by others;
● use Program Materials to teach, market, license, or create competing educational
products or services that substantially reproduce Five Star Flite’s original expression;
● misrepresent Five Star Flite’s Content as their own;
● attempt to circumvent security features, access controls, licensing restrictions, or
technological protection measures;
● interfere with or disrupt the operation, security, or integrity of the Website or Services;
● introduce malicious software, viruses, ransomware, bots, or automated scripts intended
to interfere with the Website or Services;
● scrape, systematically harvest, or extract substantial portions of the Website or Content
through automated means;
● use the Services in violation of any applicable law; or
● encourage or assist another person to engage in conduct prohibited by these Terms.
Five Star Flite reserves the right to investigate suspected violations of this Section and to suspend
or terminate access where we reasonably determine that a violation has occurred.
Artificial Intelligence and Automated Technologies
Five Star Flite recognizes that artificial intelligence and related technologies are increasingly used
as legitimate productivity, research, and educational tools. Nothing in these Terms is intended to
prohibit Participants from using such tools in a manner that is consistent with personal
educational use and does not infringe Five Star Flite’s Intellectual Property.
Accordingly, Participants may use artificial intelligence tools to assist with personal learning, note
organization, idea generation, or other lawful educational purposes, provided that such use
remains consistent with these Terms.
However, unless expressly authorized in writing by Five Star Flite, Participants may not use
substantial portions of the Programs, Program Materials, or other Content to:
● train or fine-tune artificial intelligence models;
● build or populate custom AI assistants, knowledge bases, retrieval-augmented generation
(RAG) systems, or similar repositories;
● generate derivative educational products or services that substantially reproduce Five
Star Flite’s original expression;
● automate redistribution of Program Materials;
● create commercial products or services based upon substantial portions of the Program
Materials;
● develop competing educational programs using Five Star Flite’s proprietary Content; or
● otherwise exploit Five Star Flite’s proprietary educational Content in a manner
inconsistent with the limited license granted under these Terms.
Nothing in this Section prohibits a Participant from applying general concepts, knowledge, skills,
principles, or decision-making frameworks learned through the Programs in combination with
artificial intelligence tools, provided that the Participant does not reproduce, misappropriate, or
commercially exploit Five Star Flite’s protected Intellectual Property.
Nothing in this Section is intended to restrict any rights that cannot lawfully be restricted under
applicable law.
Reservation of Rights
Except for the limited license expressly granted under these Terms, Five Star Flite reserves all
right, title, and interest in and to the Website, Services, Programs, Program Materials, Content,
and Intellectual Property.
No rights or licenses are granted by implication, estoppel, waiver, or otherwise. Any rights not
expressly granted to you under these Terms are reserved exclusively by Five Star Flite.
Nothing contained in these Terms shall be interpreted as granting any ownership interest in the
Website, Services, Programs, Program Materials, or Intellectual Property.
Educational Purpose
Five Star Flite provides educational Services intended to teach practical frameworks, principles,
methodologies, and decision-making tools designed to support thoughtful leadership,
communication, and personal and professional development.
Participants are encouraged to evaluate, adapt, and apply the concepts presented in our
Programs according to their own judgment, circumstances, experience, objectives, and
professional responsibilities.
Our Programs are designed to educate, challenge, and encourage thoughtful decision making.
They are not intended to replace individualized professional advice, consultation, diagnosis,
treatment, or services.
Nothing contained within our Programs should be interpreted as directing a Participant to make
any particular personal, financial, legal, medical, employment, business, or other decision.
Each Participant remains solely responsible for determining whether any educational concept
presented through our Services is appropriate for their individual circumstances.
Professional Relationship Disclaimer
Participation in a Program or use of the Services does not create an attorney-client, physicianpatient, therapist-client, psychologist-client, fiduciary, employment, consulting, partnership,
agency, joint venture, coaching, advisory, or other professional relationship between you and
Five Star Flite.
Nothing contained within our Programs, Services, Program Materials, Website, or other Content
constitutes individualized:
● legal advice;
● financial advice;
● investment advice;
● tax advice;
● accounting advice;
● medical advice;
● mental health treatment;
● psychotherapy;
● counseling;
● employment advice;
● human resources advice; or
● other licensed professional services.
If your individual circumstances require professional advice, diagnosis, treatment, or
consultation, you should seek assistance from an appropriately qualified professional licensed in
the applicable field.
Five Star Flite does not undertake any duty to monitor, supervise, evaluate, or direct your
personal or professional decisions.
Individual Responsibility and No Guaranteed Results
Every Participant remains solely responsible for their own decisions, actions, implementation,
conduct, and results.
Although Five Star Flite strives to provide high-quality educational Programs and practical
decision-making frameworks, individual outcomes vary significantly based upon factors beyond
our knowledge or control, including each Participant’s:
● experience;
● effort;
● judgment;
● implementation;
● communication skills;
● business environment;
● organizational culture;
● market conditions;
● personal circumstances; and
● countless other variables unique to that Participant.
Accordingly, Five Star Flite makes no representation, warranty, or guarantee regarding any
particular personal, professional, financial, leadership, organizational, or business outcome.
Testimonials, examples, demonstrations, success stories, case studies, illustrations, and
hypothetical scenarios are provided solely to illustrate educational concepts or individual
experiences. They should not be interpreted as promises, guarantees, or predictions that any
Participant will achieve similar results.
Pricing, Payment, and Refunds
Program pricing, promotional offers, discounts, payment plans, and availability may change
prospectively at any time without prior notice.
Payments are processed through Thinkific Payments powered by Stripe or successor payment
processors selected by Five Star Flite.
Five Star Flite does not store complete payment card information on its own systems.
By purchasing a Program, you authorize the applicable payment processor to charge the payment
method you provide for all applicable fees, taxes, and authorized charges.
Refund eligibility is governed exclusively by our Refund Policy & 90-Day Confidence Guarantee,
which is incorporated into these Terms by reference.
No refunds, credits, or partial refunds shall be provided except as expressly stated in the Refund
Policy or otherwise required by applicable law.
Upon approval of a refund:
● your license to access the applicable Program immediately terminates;
● your right to use the applicable Program Materials immediately ceases; and
● you agree to comply with all post-termination obligations contained in these Terms.
Suspension and Termination
Five Star Flite reserves the right to suspend, restrict, or terminate a Participant’s access to the
Website, Services, Programs, or Account immediately if we reasonably determine that the
Participant has:
● materially violated these Terms;
● shared or transferred Account credentials;
● infringed Five Star Flite’s Intellectual Property;
● engaged in fraudulent payment activity;
● misused artificial intelligence in violation of these Terms;
● attempted unauthorized access to our systems;
● compromised the security or integrity of our Services;
● engaged in unlawful conduct through the Services; or
● otherwise used the Services in a manner that materially threatens Five Star Flite, other
Participants, or our business operations.
Where reasonably practical, Five Star Flite may provide notice and an opportunity to cure before
terminating access.
However, nothing in these Terms obligates Five Star Flite to provide advance notice where
immediate suspension or termination is reasonably necessary to protect the Services, other
Participants, or Five Star Flite’s legitimate business interests.
Effect of Termination
Upon termination or expiration of your access rights:
● your license to access the applicable Programs immediately terminates;
● your right to use Program Materials immediately ceases;
● you must discontinue all unauthorized use of Program Materials;
● you must permanently delete or destroy downloaded Program Materials that you are no
longer authorized to retain; and
● you must cease representing yourself as having authorized access to the applicable
Programs.
Termination does not affect provisions of these Terms that by their nature are intended to survive
termination, including without limitation:
● Intellectual Property protections;
● confidentiality obligations;
● payment obligations;
● disclaimers;
● limitation of liability;
● indemnification;
● dispute resolution provisions;
● governing law;
● equitable remedies; and
● any other provision reasonably intended to survive.
Third-Party Platforms and Services
Certain Services are provided through or rely upon third-party technology providers, including
Thinkific, Stripe, email service providers, analytics providers, hosting providers, and other
technology partners.
Five Star Flite is not responsible for interruptions, outages, delays, security incidents, policy
changes, pricing changes, or other events arising from third-party providers that are beyond our
reasonable control.
Your use of third-party platforms may also be subject to those providers’ separate terms of
service, privacy policies, and other legal agreements.
Five Star Flite makes no representation or warranty regarding the availability or continued
operation of any third-party service.
Privacy
Our collection, use, disclosure, retention, and protection of personal information are governed
by our Privacy Policy, which is incorporated into these Terms by reference.
By using our Services, you acknowledge that you have reviewed the Privacy Policy and
understand how your personal information may be collected and used in connection with our
educational Services.
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SERVICES,
PROGRAMS, PROGRAM MATERIALS, CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED
ON AN “AS IS” AND “AS AVAILABLE” BASIS.
FIVE STAR FLITE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING WARRANTIES OF:
● MERCHANTABILITY;
● FITNESS FOR A PARTICULAR PURPOSE;
● NON-INFRINGEMENT;
● TITLE;
● ACCURACY;
● COMPLETENESS;
● RELIABILITY;
● CONTINUOUS AVAILABILITY; AND
● ANY PARTICULAR PARTICIPANT OUTCOME.
WITHOUT LIMITING THE FOREGOING, FIVE STAR FLITE DOES NOT WARRANT THAT:
● THE SERVICES WILL OPERATE WITHOUT INTERRUPTION;
● ERRORS WILL BE CORRECTED;
● PROGRAMS WILL REMAIN AVAILABLE FOR ANY SPECIFIC PERIOD OF TIME;
● THE WEBSITE WILL ALWAYS BE SECURE; OR
● PARTICIPATION WILL PRODUCE ANY PARTICULAR RESULT.
Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the
foregoing limitations apply only to the extent permitted by applicable law.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIVE STAR FLITE, ITS OWNERS,
OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AFFILIATES, SUCCESSORS,
AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES ARISING OUT OF OR
RELATING TO THE WEBSITE, SERVICES, PROGRAMS, PROGRAM MATERIALS, CONTENT, OR
THESE TERMS.
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING
CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIVE STAR FLITE’S TOTAL AGGREGATE
LIABILITY ARISING FROM ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE
TOTAL AMOUNT ACTUALLY PAID BY THE PARTICIPANT TO FIVE STAR FLITE FOR THE SPECIFIC
PROGRAM GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY
PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing contained in these Terms excludes or limits liability that cannot lawfully be excluded or
limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Five Star Flite, its owners, officers, directors,
employees, contractors, affiliates, licensors, successors, assigns, and representatives from and
against any claims, demands, actions, damages, judgments, liabilities, losses, costs, expenses,
and reasonable attorneys’ fees arising from or relating to:
● your violation of these Terms;
● your misuse of the Website or Services;
● your infringement of Five Star Flite’s Intellectual Property;
● your violation of applicable law;
● your negligent, reckless, or intentional conduct; or
● any claim arising from materials or information you submit, upload, or distribute through
the Services.
Five Star Flite reserves the right to assume the exclusive defense and control of any matter
subject to indemnification, and you agree to cooperate fully in the defense of such claims.
Force Majeure
Five Star Flite shall not be liable for any delay, interruption, or failure to perform its obligations
under these Terms when such delay or failure results from causes beyond its reasonable control.
Such causes include, without limitation:
● acts of God;
● natural disasters;
● fires;
● floods;
● severe weather;
● epidemics;
● pandemics;
● acts of war;
● terrorism;
● civil unrest;
● governmental actions;
● labor disputes;
● internet outages;
● utility failures;
● cyberattacks;
● failures of hosting providers;
● failures of payment processors;
● failures of third-party technology providers; or
● other events beyond Five Star Flite’s reasonable control.
Performance shall resume within a reasonable time after the Force Majeure event has concluded.
Changes to Programs and Services
Five Star Flite is committed to continually improving the quality, relevance, and effectiveness of
its educational offerings.
Accordingly, Five Star Flite reserves the right, at any time and in its sole discretion, to:
● update, revise, or improve Program content;
● add or remove lessons, modules, downloads, or other Program Materials;

Unless otherwise expressly provided in our Refund Policy & 90-Day Confidence Guarantee or
required by applicable law, changes to Programs or Services do not entitle Participants to
refunds, credits, or compensation.

Five Star Flite may revise these Terms from time to time to reflect changes in our business,
educational offerings, legal obligations, technology, or operational practices.
When material changes are made, we will update the “Last Updated” date appearing at the
beginning of these Terms.
Unless otherwise required by applicable law, revised Terms become effective upon publication
on our Website.
Your continued access to or use of the Website, Services, or Programs following the effective
date of revised Terms constitutes your acceptance of those revised Terms.
Material revisions generally will not alter the rights associated with Programs purchased before
the effective date unless:

Good Faith Resolution of Disputes
Five Star Flite believes that most disagreements can be resolved through respectful
communication.
Accordingly, before initiating litigation, each party agrees to make a good faith effort to resolve
any dispute arising out of or relating to these Terms through informal discussions.
Either party may initiate this process by providing written notice describing the nature of the
dispute and the requested resolution.
Nothing contained in this Section prevents either party from seeking immediate injunctive relief
where necessary to protect Intellectual Property or other legal rights.
Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New
York, without regard to its conflict-of-law principles.
Except as otherwise expressly provided in these Terms, any legal action or proceeding arising out
of or relating to these Terms, the Website, the Services, or the Programs shall be brought
exclusively in the state or federal courts located within the State of New York.
Each party irrevocably submits to the personal jurisdiction of those courts and waives any
objection based upon improper venue or forum non conveniens to the fullest extent permitted
by law.
Small Claims Exception
Nothing contained in these Terms prevents either party from bringing an eligible claim in a court
of competent small claims jurisdiction where such claims are permitted under applicable law.
Reservation of Equitable Remedies
You acknowledge that unauthorized use of Five Star Flite’s Intellectual Property may cause
irreparable harm for which monetary damages alone may be an inadequate remedy.
Accordingly, in addition to any other remedies available under applicable law, Five Star Flite shall
be entitled to seek temporary, preliminary, permanent, or other appropriate equitable or
injunctive relief to prevent or remedy actual or threatened violations of these Terms.
Nothing contained in this Section limits any other remedies available under applicable law.
Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid,
illegal, or unenforceable, that provision shall be interpreted or modified only to the minimum
extent necessary to make it enforceable.
If modification is not possible, the invalid provision shall be deemed severed from these Terms.
The remaining provisions shall remain in full force and effect and shall continue to be interpreted
so as to give effect to the original intent of the parties to the greatest extent permitted by law.
Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of
that provision or of any future enforcement of that or any other provision.
Any waiver must be in writing and signed by the party granting the waiver.
No single waiver shall constitute a continuing or permanent waiver unless expressly stated in
writing.
Assignment
You may not assign, delegate, transfer, sublicense, or otherwise convey any rights or obligations
arising under these Terms without the prior written consent of Five Star Flite.
Any attempted assignment in violation of this Section shall be void.
Five Star Flite may assign these Terms, in whole or in part, without your consent in connection
with:
● a merger;
● acquisition;
● sale of assets;
● corporate reorganization;
● financing transaction; or
● other lawful business transaction.
These Terms shall bind and benefit the parties and their respective successors and permitted
assigns.
Entire Agreement
These Terms, together with the:
● Privacy Policy;
● Cookie Notice;
● Refund Policy & 90-Day Confidence Guarantee;
● Website Disclaimer; and
● any Program-specific written terms expressly incorporated by reference,
constitute the entire agreement between you and Five Star Flite concerning the Website,
Services, Programs, and Program Materials.
These Terms supersede all prior or contemporaneous discussions, negotiations, understandings,
representations, marketing materials, communications, or agreements relating to the same
subject matter.
Nothing contained in advertising, promotional materials, webinars, social media posts,
interviews, presentations, or other educational content shall modify these Terms unless
expressly incorporated into a written agreement signed by Five Star Flite.
